These Terms and Conditions ('Terms') govern your access to and use of the Zefty platform, applications, and services (collectively, the 'Services').
This is a legally binding agreement between you ('you', 'your') and Zefty ('Zefty', 'we', 'us', or 'our').
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
Limitation of Liability and User Responsibilities
Zefty provides software services that facilitate the connection between Zoho Books and the generation of payment files. By using Zefty's services, you acknowledge and agree to the following:
- No Responsibility for Payments: Zefty is not responsible for any payments, transactions, or financial transfers made using payment files generated by its services.
- User Obligation to Verify: You, the user, are solely responsible for reviewing, verifying, and validating all transactions and payment files before executing any payments. This includes, but is not limited to, confirming payment amounts, recipient details, and transaction accuracy.
- Service Scope: Zefty's services are limited to providing connectivity between Zoho Books and generating payment files. Zefty does not process, authorize, or execute payments.
- Limitation of Liability: To the fullest extent permitted by applicable law, Zefty shall not be liable for any errors, inaccuracies, losses, damages, or financial consequences arising from:
- Errors in payment files
- Your failure to review or validate transactions
- Incorrect, incomplete, or inaccurate data
- Any payments made using Zefty-generated files
- Disclaimer of Warranties: Zefty's services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of accuracy, completeness, or fitness for a particular purpose.
1. About Zefty and the Services
Zefty provides software tools and integrations designed to enhance, automate, or extend accounting and business workflows, including integrations with third-party platforms such as Zoho Books.
Zefty is not affiliated with, endorsed by, or responsible for Zoho or Zoho Books, except to the extent explicitly stated.
You may use the Services for internal business purposes only, subject to these Terms.
2. Eligibility and Acceptance
You must be legally capable of entering into a binding agreement to use the Services.
If you are using the Services on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
Acceptance occurs when you:
- create an account,
- click an “accept” or similar button, or
- use the Services.
3. Account Registration and Responsibilities
To access the Services, you must create an account and provide accurate, current, and complete information.
You agree to keep your account information up to date and maintain the confidentiality of your login credentials.
You accept responsibility for all activities that occur under your account.
4. Integrations and Third-Party Services
Zefty integrates with third-party services, including Zoho Books (“Third-Party Services”).
You acknowledge and agree that your use of Third-Party Services is governed by their own terms and privacy policies.
Zefty does not control or guarantee the availability, accuracy, or functionality of Third-Party Services.
Zefty is not liable for any losses or damages caused by Third-Party Services.
5. Beta Features and Trials
Zefty may offer beta features or trial access (“Beta Services”) for evaluation purposes.
Beta Services are provided “as-is”, without warranties, and may contain bugs or inaccuracies.
Zefty has no obligation to continue offering Beta Services or convert them into paid features.
Zefty may modify, suspend, or discontinue Beta Services at any time.
6. Fees, Subscriptions, and Payments
Some Services may require payment. Pricing, billing cycles, and payment terms will be disclosed at the time of purchase.
Key points:
- subscriptions renew automatically unless canceled before renewal,
- fees are non-refundable unless required by law or expressly stated,
- you are responsible for applicable taxes.
7. Acceptable Use
You agree not to use the Services to:
- violate any applicable law or regulation,
- infringe intellectual property or privacy rights,
- distribute malware, spam, or harmful code,
- attempt unauthorized access or reverse engineering,
- interfere with system security or performance.
Zefty may suspend or terminate access for violations.
8. Data and Content Ownership
You retain ownership of any data or content you submit to the Services.
By using the Services, you grant Zefty a limited license to access, process, store, and transmit your data solely for the purpose of providing and improving the Services.
Zefty does not sell your data.
9. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data.
You are responsible for ensuring that any data you process through Zefty complies with applicable data protection laws.
10. Service Availability and Changes
We aim to keep Zefty available and reliable, but we do not guarantee uninterrupted or error-free operation.
Zefty may modify features, suspend Services for maintenance, or discontinue parts of the Services with reasonable notice where practicable.
11. Intellectual Property
All intellectual property rights in the Services, including software, designs, and branding, belong to Zefty or its licensors.
You may not use Zefty’s name, logo, or trademarks without prior written permission.
12. Disclaimer of Warranties
The Services are provided “as is” and “as available”.
To the fullest extent permitted by law, Zefty disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Zefty is not liable for indirect, incidental, special, consequential, or punitive damages.
Zefty’s total liability shall not exceed the fees paid by you to Zefty in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Zefty from claims, damages, losses, and expenses arising from:
- your misuse of the Services,
- violation of these Terms,
- violation of applicable laws or third-party rights.
15. Suspension and Termination
Zefty may suspend or terminate your account if you violate these Terms, if required by law, or if your account remains inactive for an extended period.
You may terminate your account at any time by discontinuing use of the Services.
Upon termination, your access will cease and your data may be deleted in accordance with our data retention policies.
16. Governing Law
These Terms are governed by the laws of Canada, without regard to conflict-of-law principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in Canada.
17. Changes to These Terms
We may update these Terms from time to time.
If changes materially affect your rights, we will provide reasonable advance notice.
Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
